    1. These Terms explain how you may access and use this website (
    2. References in these Terms to the Site include Talent Exchange Network's Community site and all associated web pages, together with any other websites operated by Talent
    3. You should read these Terms carefully before using the Site.
    4. By accessing or using the Site or otherwise indicating your consent, you agree to be bound by these Terms and the documents referred to in them and to use the Site only in accordance with the terms herein.
    5. If you do not agree with or accept any of these Terms, you should stop using the Site

    7. Definitions

      Businesses has the meaning given to it in clause 2.1.2;
      Content means any text, images, video, audio or other multimedia content, software or other information or material submitted to or on the Site;
      Terms means these terms and conditions of use as updated from time to time under clause 16;
      Unwanted Submission has the meaning given to it in clause 5.1;
      Cookie policy means the policy, which governs how we use cookies in the Site;
      Individual has the meaning given to it in clause 2.1.1;
      Terms and conditions for the supply of services means the terms and conditions we will supply to you when you request to purchase services from our Site (either as an Individual or a Business);
      Privacy policy means the policy, which governs how we process any personal data collected from an Individual;
      Site has the meaning given to it in clause 1.1;
      Submission means any text, images, video, audio or other multimedia content, software or other information or material submitted by you or other users to the Site;
      We, us or our Talent Exchange Network Ltd, company registration number 10452479 and the registered office of which is at Kemp House, 160 City Road, London, London, United Kingdom, EC1V 2NX; and
      You or your means the person accessing or using the Site or its Content.
    8. Your use of the Site means that you must also comply with ourPrivacy policy, ourCookie policy and ourTerms and Conditions for the Supply of Services, where applicable.
    9. If there is a conflict between these Terms and the Terms and Conditions for the Supply of Services that we supply to you when you purchase services from us, the relevant provisions of the Terms and Conditions for the Supply of Services shall prevail.
  2. Using the Site
    1. The Site is for your own use only, either as an:
      1. individual to advertise yourself as a candidate, locate companies looking to recruit, access and join the community page, or any other associated services available on the Site (an "Individual"); or
      2. as a business to locate potential candidates for a role in your business, advertise your business services, or any other associated services available on the Site ("Business").
    2. We specifically draw your attention to the fact that the use of this Site is not for recruitment agencies and recruitment agencies should not use the Site, or any information obtained from the Site, for or in relation to their recruitment activities.
    3. You agree that you are solely responsible for:
      1. all costs and expenses you may incur in relation to your use of the Site other than for services which you purchase from us; and
      2. keeping your password and other account details confidential.
    4. The Site is intended for use only by those who can access it from within the UK. If you choose to access the Site from locations outside the UK, you are responsible for compliance with local laws where they are applicable.
    5. We seek to make the Site as accessible as possible. If you have any difficulties using the Site, please contact us at or via the details available on the 'contact us' section of the Site.
    6. We may prevent or suspend your access to the Site if you do not comply with any part of these Terms, any terms or policies to which they refer or any applicable law.
  3. Restrictions on use
    1. As a condition of your use of the Site, you agree:
      1. not to use the Site for any purpose that is unlawful under any applicable law or prohibited by these Terms or any Terms and conditions for the supply of services we have submitted to you;
      2. not to use the Site to commit any act of fraud, including but not limited to submitting any personal information, such as job history details, which is inaccurate or untrue;
      3. not to use the Site to distribute viruses or malware or other similar harmful software code;
      4. not to use the Site for purposes of promoting unsolicited advertising or sending spam;
      5. not to use the Site to simulate communications from us or another service or entity in order to collect identity information, authentication credentials, or other information (‘phishing’);
      6. not to use the Site in any manner that disrupts the operation of our Site or business or the website or business of any other entity;
      7. not to use the Site in any manner that harms minors;
      8. not to promote any unlawful activity;
      9. not to represent or suggest that we endorse any other business, product or service unless we have separately agreed to do so in writing;
      10. not to use the Site to gain unauthorised access to or use of computers, data, systems, accounts or networks; and
      11. not to attempt to circumvent password or user authentication methods.
  4. Bulletin boards, chat rooms and other interactive services
    1. We may make bulletin boards, chat rooms or other communication services, such as the Talent Exchange Network Community site (‘Interactive Services’) available on the Site.
    2. We are not obliged to monitor or moderate Submissions to our interactive services. Where we do monitor or moderate Submissionswe shall indicate how this is performed and who should be contacted in relation to any Submission of concern to you.
    3. We may remove or edit any Submissions to any of our interactive services whether they are moderated or not.
    4. Any Submission you make must comply with our Submission standards set out in clause 6
    5. You acknowledge that Submissions you post to such interactive services will be viewed by other users of such services and as such you should not post Submissions that comprise your personal or confidential information.
  5. Submitting information to the Site
    1. While we try to make sure that the Site is secure, we cannot guarantee the security of any information that you supply to us and therefore we cannot guarantee that it will be kept confidential.
    2. You should not post commercially sensitive or valuable information on our Site. We have no way of knowing whether such information is confidential, commercially sensitive or valuable because we do not monitor the Site to check for these matters. Therefore, we will not be legally responsible for keeping any such Submissions confidential nor will we be legally responsible to you or anybody else for any use of such Submissions.
  6. Submission standards
    1. Any Submission or communication to users of our Site must conform to standards of accuracy, decency and lawfulness, which shall be applied in our discretion, acting reasonably. In particular, you warrant that any Submission or communication is:
      1. your own original work and lawfully submitted;
      2. in the case of an Individual, any personal information provided in your CV or in relation to your profile is true, accurate and not in any way deceitful;
      3. factually accurate or your own genuinely held belief;
      4. provided with the necessary consent of any third party;
      5. not defamatory or likely to give rise to an allegation of defamation;
      6. not offensive, obscene, sexually explicit, discriminatory or deceptive; and
      7. unlikely to cause offence, embarrassment or annoyance to others.
  7. Accuracy of information and availability of the Site
    1. While we try to make sure that the Site is accurate, up-to-date and free from bugs, we cannot promise that it will be. Furthermore, we cannot promise that the Site will be fit or suitable for any purpose. Any reliance that you may place on the information on this Site is at your own risk.
    2. We may suspend or terminate operation of the Site at any time as we see fit.
    3. Content is provided for your general information purposes only and to inform you about us and our products and news, features, services and other websites that may be of interest. It does not constitute technical, financial or legal advice or any other type of advice and should not be relied on for any purposes.
    4. While we try to make sure that information provided by an Individual is accurate and not misleading and, where requested, we engage the services of third party background check providers to help us to do so, we rely on the Individual to provide such information so cannot ensure and do not warrant that all such information is correct, accurate and free of errors or omissions.
    5. While we try to make sure that the Site is available for your use, we do not promise that the Site is available at all times nor do we promise the uninterrupted use by you of the Site.
  8. Linking and framing
    1. You may create a link to our Site from another website without our prior written consent provided no such link:
      1. creates a frame or any other browser or border environment around the content of our Site;
      2. implies that we endorse your products or services or any of the products or services of, or available through, the website on which you place a link to our Site;
      3. displays any of the trademarks or logos used on our Site without our permission or that of the owner of such trademarks or logos; or
      4. is placed on a website that itself does not meet the acceptable use requirements of this Policy.
    2. We reserve the right to require you to immediately remove any link to the Site at any time, and you shall immediately comply with any request by us to remove any such link.
    3. The display of any link and reference to any third party website does not mean that we endorse that third party's website, products or services. We have no control over third party websites and accept no legal responsibility for any content, material or information contained in them. Your use of a third party site may be governed by the terms and conditions of that third party site.
  9. Ownership, use and intellectual property rights
    1. This Site and all intellectual property rights in it including but not limited to any Content are owned by us, our licensors or both (as applicable). Intellectual property rights means rights such as: copyright, trademarks, domain names, design rights, database rights, patents and all other intellectual property rights of any kind whether or not they are registered or unregistered (anywhere in the world). We and our licensors reserve all of our and their rights in any intellectual property in connection with these Terms. This means, for example, that we and they remain owners of them and free to use them as we and they see fit.
    2. Subject to clause 3, nothing in these Terms grants you any legal rights in the Site other than as necessary to enable you to access the Site. You agree not to adjust to try to circumvent or delete any notices contained on the Site (including any intellectual property notices) and in particular in any digital rights or other security technology embedded or contained within the Site.
    3. Please be aware that if you are a Business and have purchased services through our Site, the intellectual property provisions of the Terms and Conditions for the Supply of Services will apply to such services.
    4. The use of any trade marks on the Site, whether ours or those of our licensors, is strictly prohibited unless you have our prior written permission.
  10. Software
    1. Software may be made available for you to download in order to help the Site work better. You may only use such software if you agree to be bound by the terms and conditions that apply to such software (this is sometimes known as an ‘end user licence agreement’ or ‘EULA’). You will be made aware of any terms and conditions that apply to the software when you try to download it. If you do not accept such terms and conditions, you will not be allowed to download the software. You should read any terms and conditions carefully to protect your own interests (they may contain provisions that set out what your legal rights are under, eg, the Consumer Rights Act 2015, what your legal responsibilities are when using software, what the software provider’s legal responsibilities are, and provisions that limit a software provider’s legal responsibilities to you).
    2. Using the software in an unlawful way (such as reproducing or redistributing it in a way that breaches these Terms and any others that apply to it) is expressly prohibited and may result in civil and criminal penalties.
  11. Breach
    1. We shall apply the provisions of these Terms in our absolute discretion. In the event of your breach of these Terms we may terminate or suspend your use of the Site, remove or edit Submissions, disclose Submissions to law enforcement authorities or take any action we consider necessary to remedy the breach.
  12. Limitation on our liability
    1. For Individuals where they are using the Site and any services available on it as a consumer (i.e in their own personal capacity and not through a company or other corporate entity):
      1. Except for any legal responsibility that we cannot exclude in law (such as for death or personal injury), we are not legally responsible for any:
      2. losses that:
        1. were not foreseeable to you and us when these Terms were formed; or
        2. that were not caused by any breach on our part
      3. business losses; and
      4. losses to non-consumers.
    2. For Businesses and for those Individuals to whom clause 12.1 does not apply:
      1. Subject to clauses 2.2 and 12.2.3, you acknowledge that your use of the Site, other than for services you are paying for under the relevant Terms and Conditions for the Supply of Services, is free and as such our maximum liability to you under or in connection with the Site shall be £300.
      2. Notwithstanding clause 2.1, we do not limit our liability in any way in respect of the following:
        1. death or personal injury caused by negligence;
        2. fraud or fraudulent misrepresentation; or
        3. any other losses which cannot be excluded or limited by applicable law.
      3. Subject to clause 2.2, we shall not be liable for:
        1. loss of profit;
        2. loss of data;
        3. loss of use;
        4. loss of contract;
        5. loss of opportunity;
        6. loss of savings, discount or rebate (whether actual or anticipated);
        7. harm to reputation or loss of goodwill; or
        8. consequential, indirect or special losses, costs, damages, charges or expenses.
  13. Events beyond our control
    We shall have no liability to you for any breach of these Terms caused by any event or circumstance beyond our reasonable control including, but not limited to, strikes, lock-outs or other industrial disputes; breakdown of systems or network access; or flood, fire, explosion or accident.
  14. Rights of third parties
    No one other than a party to these Terms has any right to enforce any of these Terms.
  15. Variation
    These Terms are dated 11/01/2018. No changes to these Terms are valid or have any effect unless agreed by us in writing. We reserve the right to vary these Terms from time to time. Our updated terms will be displayed on the Site and by continuing to use and access the Site following such changes, you agree to be bound by any variation made by us. It is your responsibility to check these Terms from time to time to verify such variations.
  16. Disputes
    1. We will try to resolve any disputes with you quickly and efficiently.

    3. If you want to take court proceedings, the courts of England and Wales will have exclusive jurisdiction in relation to these
